Terms of sale and license agreement

Last updated September 28, 2026. These terms are an agreement between you and Beckham Enterprises, LLC, a California limited liability company ("Beckham Enterprises", "we", "us"). By installing, activating or using Keys Wallet & Watch, starting a trial or buying a license or sync plan, you agree to them. If you don't agree, don't install or use the software.

In short

• The license is a one-time purchase that lets you use Keys Wallet & Watch on up to 5 of your computers, with updates. It is a license to use the software, not a sale of the software.
• Sync is separate: an optional plan, paid by the year, that syncs your vaults between computers. It needs a license and is never renewed automatically.
• Try before you buy. The free 30-day trial unlocks everything. Because of that, all sales are final and not refundable, except where the law says otherwise.
• You hold the keys. We can't see or recover your vault, master password or recovery key. Keep your recovery key and backups safe.
• No guarantees beyond the law. The software and sync are provided "as is", and our liability is limited to what you paid us in the last 12 months.

1. The software license

When you buy a license and activate its key, we grant you a personal, non-exclusive, non-transferable, non-sublicensable, perpetual license to install and use Keys Wallet & Watch in object-code form on up to 5 computers that you own or control, for your own personal or internal business use, subject to these terms. You may move the license between your computers by signing one out and activating another. The license includes updates we choose to publish; we are not obliged to publish any particular update or feature.

You may not: copy, sell, rent, lease, lend, sublicense, share or distribute the software or your license key; share a key beyond its seat limit or publish it; decompile, disassemble or reverse engineer the software, except to the extent the law expressly allows despite this restriction; remove or alter notices, license checks or copy protection; or use the software to build a competing product or to break the law.

The software is licensed, not sold. We and our licensors keep all rights, title and interest in it, including all intellectual property, except the limited rights granted here. The software includes third-party open-source components, which are licensed under their own terms; nothing here limits your rights under those licenses.

2. The free trial

The trial lets you use every feature, including sync for up to 2 vaults, for 30 days on the computer that requested it. When it ends without a license, the app stops allowing changes but still lets you open, view, copy and export your data. One trial per computer. We may change or end trial offers at any time.

3. The sync plan (a separate, yearly service)

Sync is an optional online service, sold separately from the license and paid in advance by the year (you choose 1 to 10 years at checkout). A sync plan needs an active Keys Wallet & Watch license and attaches to the license bought with the same email address. Plans cover a number of vaults (2, 6 or 15), not computers. Plans are not renewed automatically: when the paid period ends, syncing stops, and your vaults stay on your computers and keep working.

Sync is provided on an "as available" basis. We aim to keep it running but don't guarantee it will be uninterrupted, error-free or available at any particular time, and we may change, suspend or discontinue it. If we permanently discontinue sync during a paid period, we will refund the unused portion of that period on a pro-rata basis — the one exception to the no-refund rule. The relay keeps earlier versions for 30 days, and deletes a vault or shared project that no device has used for 400 days (see the privacy notice).

You are responsible for everything done through your devices, keys and shared projects, and for who you share projects with.

4. Prices, payment and no refunds

Prices are shown in US dollars; tax is added at checkout where it applies. Payments are processed by our payment provider, Stripe, which may act as the reseller and merchant of record for your purchase; its terms also apply to the payment.

All sales are final. Because the free trial lets you use the full software, including sync, before you pay, we do not offer refunds, credits or exchanges for licenses or sync plans, whether or not you use them, except: (a) where the law gives you a right that cannot be waived; (b) the pro-rata refund in section 3 if we discontinue sync; and (c) billing errors, such as a duplicate charge or a key that was never delivered, which we will correct when you contact us (opens in a new tab).

If you are in the EU, UK or another place with a right of withdrawal for digital content: by completing your purchase you ask us to supply the license key immediately and acknowledge that you lose your right of withdrawal once the key has been delivered. For a sync plan, you ask that the service starts immediately.

If a payment is reversed or charged back, we may deactivate the related license or sync plan.

5. Your data and your responsibilities

Keys Wallet & Watch encrypts your vault on your computer. We never receive your master password, recovery key or vault contents, so we cannot recover them or your data. You are solely responsible for choosing and keeping your master password, storing your recovery key, keeping backups (the app offers Backup Vault), and keeping your computers secure. If you lose both your master password and your recovery key, your vault cannot be opened by anyone.

No software can guarantee security. Keys Wallet & Watch reduces risk; it does not make you immune to malware, phishing, a compromised computer, weak passwords or mistakes. You use it at your own risk.

6. No warranty

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SOFTWARE, THE TRIAL, THE SYNC SERVICE, UPDATES AND ANY SUPPORT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, AND THAT THE SOFTWARE OR SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR FREE OF HARMFUL COMPONENTS, OR THAT DATA WILL NOT BE LOST. NO ADVICE OR INFORMATION FROM US CREATES A WARRANTY NOT STATED HERE. Some places don't allow excluding implied warranties, so some of these exclusions may not apply to you.

7. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BECKHAM ENTERPRISES AND ITS OWNERS, MEMBERS, EMPLOYEES, CONTRACTORS AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PASSWORDS, ACCOUNTS, ACCESS, FUNDS, CRYPTOCURRENCY, PROFITS, REVENUE, BUSINESS OR GOODWILL, OR THE COST OF SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR RELATED TO THE SOFTWARE, THE SYNC SERVICE OR THESE TERMS, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF WE WERE ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SOFTWARE, THE SYNC SERVICE OR THESE TERMS IS LIMITED TO THE AMOUNT YOU PAID US FOR KEYSWALLETWATCH IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR US$25 IF YOU PAID NOTHING. These limits apply even if a remedy fails of its essential purpose. They don't limit liability that the law does not allow to be limited, such as for fraud or, where applicable, death or personal injury caused by negligence.

8. Indemnity

You agree to defend, indemnify and hold harmless Beckham Enterprises and its owners, members, employees and contractors from claims, losses and costs (including reasonable legal fees) arising from your misuse of the software or sync service, your breach of these terms, or your violation of law or of anyone else's rights.

9. Termination

These terms apply until ended. Your license ends automatically if you breach them; we may then deactivate your key and sync plan. You may end them at any time by uninstalling the software. On termination you must stop using the software. Sections 4 to 12 survive termination. Termination never deletes the vault files on your computers.

10. Governing law and disputes

These terms are governed by the laws of the State of California, USA, without regard to conflict-of-law rules; the UN Convention on Contracts for the International Sale of Goods does not apply. Any dispute will be brought exclusively in the state or federal courts located in Solano County, California, and you and we consent to their jurisdiction, except that either of us may bring an individual claim in small-claims court. Claims must be brought individually, not as a plaintiff or class member in any class or representative proceeding. If you are a consumer in a country whose laws give you the right to sue at home or to rely on mandatory local protections, nothing here takes those rights away.

11. Export and legal use

The software uses encryption. You agree to follow all export-control and sanctions laws that apply to you, and not to use the software where or by whom that is prohibited.

12. General

These terms, together with the privacy notice, are the entire agreement about Keys Wallet & Watch and replace any earlier terms. If a provision is found unenforceable, it is limited to the minimum extent needed and the rest stays in effect. Our not enforcing a provision is not a waiver. You may not assign these terms; we may assign them in connection with a merger, sale or reorganisation. We may update these terms; the version and date on this page apply, and continuing to use the software or sync after a change means you accept it. Changes don't apply retroactively to a purchase already made in a way that reduces what you paid for.
